Terms and Conditions of Service

These Terms and Conditions of Service set by Seven Stars Writing Services apply to the exclusion of any terms or conditions of the Client. Any deviation from these conditions shall not be classed as binding and will not form any part of a contract, unless express consent is given by Seven Stars Writing Services.

GENERAL

1. Responsibilities

a) Both Seven Stars Writing Services and the Client acknowledge that the success of the project is the joint responsibility of both parties.

b) Seven Stars Writing Services and the Client recognise they must both use reasonable endeavours to meet agreed target dates.

c) The Client agrees to provide Seven Stars Writing Services promptly with accurate and complete information concerning its activities, decisions and approvals relevant to the project.

2. Ownership and Copyright

a) Seven Stars Writing Services reserve the right to use all work carried out for portfolio or testimonial purposes, unless agreed otherwise before commencement of work.

b) Seven Stars Writing Services will retain full copyright to all work undertaken until full and final payment has been received from the Client. Upon full and final payment, all copyrights are transferred to the Client. Until final payment has been made, the customer is not entitled to distribute or publish (virtually or in print) any and all materials (documents, texts, web content, etc.) supplied by Seven Stars Writing Services.

3. Force Majeure

Neither Seven Stars Writing Services nor the Client will be liable for any delay in performing or failure to perform their obligations if such failure or delay is as a result of causes outside the reasonable control of the responsible party.

4. Rejection

a) No right exists to reject on the basis of the Seven Stars Writing Services' style, composition, editing or interpretation of the Client's needs, amendments or circumstances, nor failure to achieve any search engine rankings.

b) The Client commissions Seven Stars Writing Services to carry out all services based on previous work examples.

c) Should the Client wish to cancel any project, they will be subject to full payment of all work carried out until the point of cancellation.

SERVICES

5. Copywriting

a) All Copywriting work shall be undertaken only following provision of a suitable brief, as determined by Seven Stars Writing Services, from the Client. This can include (but is not limited to) word count per page, number of pages required, purpose/ intention of the copy, and any information which is deemed necessary for inclusion by the Client.

b) Seven Stars Writing Services will then offer costs and timescale for completion (in a formal Proposal if requested by the Client), which must be agreed by both parties before work commences and may be subject to an up-front fee as laid out in paragraph 7(b).

c) If the Client does not express a requirement for Copywriting work to be completed by a specific date, Seven Stars Writing Services will carry out the work in accordance to existing schedules. Seven Stars Writing Services will always attempt to carry out Copywriting work in an efficient and timely manner within reasonable expectations.

d) Seven Stars Writing Services offer 2 (two) amendments to the complete project upon submission of 2 (two) draft versions and will always strive to complete all Copywriting work within these 2 (two) draft versions. No amendments shall be made before each draft version is complete.

e) If any amendments are required, the Client is expected to detail the precise changes to be made by Seven Stars Writing Services. Should any work not be completed within these 2 (two) amendments, then all additional work will be charged at the rate set within the project Proposal.

f) If work is not deemed to be satisfactory then the Client agrees to pay in full for all work carried out until that time. Seven Stars Writing Services reserve the right to pursue all monies owed for work done in line with the costs detailed in the Proposal.

g) If, upon submission of a draft version of an entire project, the Client does not respond with any requested amendments to that draft version within 5 (five) working days, then Seven Stars Writing Services will deem that project complete and invoice the Client for payment in full.

6. Search Engine Optimisation

a) Seven Stars Writing Services will take all action possible and necessary in order to improve search engine rankings for specified key words or phrases as detailed following full agreement with the details of the Proposal.

b) Seven Stars Writing Services are committed to maintaining a detailed knowledge of SEO, best practices and new developments but, due to natural flux and algorithmic changes, cannot guarantee any position within search engine rankings.

c) Link building and related services, including (but not limited to) directory submissions, blogging and form posting, shall be carried out with the reputation of the client in mind. Links will not be created on unsuitable or offensive sources.

d) Links will always meet required standards of quality and effectiveness for search engine optimisation as determined by Seven Stars Writing Services.

7. PAYMENTS

a) Final payment of the remaining project fee is required upon satisfactory completion of work. Satisfactory completion of work refers to the terms set out in paragraph 4(c).

b) Seven Stars Writing Services reserve the right to request an up-front payment of no more than 50% of the entire project fee before commencement of any work. If this request is refused, Seven Stars Writing Services may refuse to begin work on any project.

c) Payment is required within one calendar month of invoicing via BACS or Cheque payment.

d) Payments can be made in divided equal installments in certain circumstances such as regular consultancy services. This is to be discussed with, and approved by, Seven Stars Writing Services.

8. APPLICABLE LAW

These Terms and Conditions of Service will be governed by and construed in accordance with the laws of England and Wales, and will be subject to the exclusive jurisdiction of the English Courts.

9. VARIATION

The Terms and Conditions contained in this Agreement shall not be varied, except by mutual consent and agreed in writing between Seven Stars Writing Services and the Client.
